Terms Of Service

These Terms of Service ("Terms") constitute a binding agreement between you (“User,” “you,” or “your”) and ZND, a division of IMERION LLC (“ZND,” “we,” “our,” or “us”), governing your access to and use of our services, including but not limited to the official ZND website (https://teamznd.com), the ZND App, and the official ZND Discord server (collectively, the “Services”).

By accessing or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not access or use the Services.

1. Eligibility

You must be at least 13 years of age (or the minimum age of digital consent in your country) to use the Services. If you are under the age of majority in your jurisdiction, you must have your parent or legal guardian’s permission to use the Services.

2. Account Registration

Access to certain features of the Services may require registration or verification (e.g., Discord account, application forms). You agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and all activity that occurs under your account.

3. Acceptable Use

You agree not to engage in any of the following prohibited activities:

• Violating any applicable laws or regulations
• Using the Services for unlawful, harmful, or fraudulent purposes
• Impersonating another individual or entity
• Harassing, abusing, threatening, or defaming others
• Interfering with or disrupting the functionality of the Services
• Attempting to gain unauthorized access to any portion of the Services
• Uploading or distributing malware, spyware, or any harmful code
• Infringing upon intellectual property rights of ZND, IMERION, or third parties
   

We reserve the right to suspend or terminate access for violations of this section.

4. User Content

You may submit content (e.g., messages, applications, artwork, feedback) through the Services. By submitting content, you grant ZND and IMERION LLC a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute such content in connection with the Services and for promotional purposes.

You represent that you own or have permission to share any content you submit, and that such content does not infringe upon the rights of any third party.

5. Ownership and Intellectual Property

All content and materials on the Services, including but not limited to logos, graphics, software, media, and trademarks (e.g., “ZND” and all related marks), are the intellectual property of ZND or IMERION LLC, protected under applicable copyright, trademark, and other laws.

You may not copy, modify, distribute, or reverse-engineer any part of the Services without express written permission.

6. Subscriptions and Paid Features

Certain features (e.g., ZND+) may require payment or subscription. All purchases are subject to our posted pricing and billing policies. Subscriptions may renew automatically unless canceled prior to the renewal period. Refunds are granted only at our discretion or as required by law.

Additional terms may apply and will be presented to you when you sign up.

7. Third-Party Services

The Services may link to or integrate with third-party platforms (e.g., Discord, TikTok, YouTube, Raven.gg). We are not responsible for the terms, content, or practices of those third-party services. Your use of those platforms is governed by their respective terms and policies.

8. Termination

We reserve the right to suspend or terminate your access to any or all Services at any time, with or without notice, for any violation of these Terms or for conduct that, in our sole judgment, may harm ZND, IMERION, the community, or our partners.

You may also terminate your use at any time by ceasing all use of the Services.

9. Disclaimers

The Services are provided “as is” and “as available.” We make no warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or availability. We do not guarantee that the Services will be error-free or uninterrupted.

Use of the Services is at your own risk.

10. Limitation of Liability

To the maximum extent permitted by law, ZND and IMERION LLC shall not be liable for any indirect, incidental, special, punitive, or consequential damages arising from or related to your use of the Services.

Our total liability to you for any claim under these Terms shall not exceed $100 USD or the amount you paid to us in the past 12 months, whichever is greater.

11. Indemnification

You agree to defend, indemnify, and hold harmless ZND, IMERION LLC, and their officers, directors, staff, partners, and affiliates from and against any claims, damages, liabilities, losses, and expenses (including legal fees) arising from your use of the Services or your violation of these Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services shall be submitted to confidential arbitration in Texas, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction.

13. Changes to the Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on https://teamznd.com or through the Services. Your continued use of the Services constitutes acceptance of the revised Terms.
